Agreement to Terms

By accessing or using LemReveal ("Service"), operated by LemStudio ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including those who sign in using Google OAuth or email/password authentication.

Service Description

LemReveal is a company registry search and registration-change monitoring service that provides:

• Search of official national business registers by company name or registration number
• Source-cited company records, including a downloadable record document
• Verified company records with a stated source register and retrieval date
• Registration-change monitoring with alerts for name, status, legal form, registered address and, where the register publishes them, officers and filings
• Free identifier lookup and validation tools
• Data exports and programmatic access on the applicable plans

LemReveal is not a register of record and does not provide credit scores, sanctions screening or adverse-media checks. For regulated filings the national register remains authoritative.

Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction) to use LemReveal. By using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under any applicable laws
• If using on behalf of a company, you have authority to bind that company to these Terms
• All information you provide is accurate and complete

User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

If you sign in using Google OAuth, you authorize us to access your basic profile information as described in our Privacy Policy.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited communications, or engage in harassment
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or its infrastructure
• Scrape, harvest, or collect data from the Service without permission
• Use the Service for competitive analysis or to build a competing product
• Violate data protection laws (GDPR, CCPA, etc.) in your use of the Service
• Resell or redistribute registry records in bulk without a written agreement
• Use officer or director details published by a register for unlawful or intrusive purposes

Your Responsibilities

When using LemReveal's registry search, records and monitoring, you are responsible for:

• Checking the source register named on a record where the decision you are making requires it
• Complying with applicable data protection laws (GDPR, CCPA, etc.) when you store or share a record
• Using registry data only for legitimate business purposes such as onboarding, procurement or due diligence
• Respecting the licence terms of any register whose data appears in a record
• Not relying on monitoring alerts as a substitute for a statutory filing check

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of LemStudio and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain all rights to your data. By using the Service, you grant us a license to process your data as necessary to provide the Service.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices, including how we handle Google OAuth data.

Subscription and Payment

Some features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Provide accurate billing information
• Automatic renewal unless you cancel before the renewal date
• Any applicable taxes or additional charges

Refunds are provided in accordance with our refund policy. Free trial periods, if offered, will convert to paid subscriptions unless cancelled.

Indemnification

You agree to indemnify and hold harmless LemStudio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request export of your data within 30 days
• We may delete your account and data after 30 days
• Any outstanding fees remain due and payable

You may terminate your account at any time through your account settings or by contacting us.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved as follows:

• First, by good-faith negotiation between the parties
• If negotiation fails, through mediation in London, UK
• If mediation fails, through binding arbitration in accordance with UK law

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in London, United Kingdom.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
