- Confirm the entity
- Save the state and entity/file number together. The same name can exist in multiple states. A foreign qualification is permission to register outside the formation state, not a separate original incorporation.
- When the search returns nothing
- Ask which state formed the entity. For a trading or assumed name, investigate the state or local DBA route rather than assuming an absent company-name match means no business exists.
- What the record cannot establish
- Registered agents receive legal notices; they are not necessarily owners, directors or operating offices. State records do not universally disclose members or beneficial owners. An EIN is not a state entity number.
