What is a sp. z o.o.?▾
Sp. z o.o. (Spółka z ograniczoną odpowiedzialnością) is Poland's limited liability company, equivalent to a GmbH or Ltd. Minimum share capital is PLN 5,000 (about €1,100). It's the most popular company form for small and medium businesses.
What is the difference between KRS and CEIDG?▾
KRS is for commercial companies (sp. z o.o., S.A., partnerships). CEIDG is for sole traders (jednoosobowa działalność gospodarcza). Sole traders register in CEIDG and don't have a KRS number.
What is a PSA?▾
PSA (Prosta spółka akcyjna / Simple Joint-Stock Company) was introduced in July 2021 as a modern, flexible entity for startups. It can be formed with PLN 1 share capital and allows tokenized shares and flexible governance.
