Poland: choosing and checking the right record
- Choose the correct source
- Choose KRS for entities within the National Court Register and CEIDG for sole-trader registration. Use the official government search routes rather than assuming every Polish business must have a KRS record.
- Confirm the entity
- Keep KRS, NIP and REGON numbers distinct. Compare the full legal name and available address with the contracting entity. Read representation rules separately from the list of management-board members.
- When the search returns nothing
- A missing KRS result may need a CEIDG search or a former-name check. Confirm the identifier and entity form before widening a name search. An inaccessible service or missing document is not a definitive non-registration finding.
- What the record cannot establish
- A current extract, full historical extract, tax check and beneficial-ownership inquiry have different scope. Record the source and dates; a board appointment is not automatically ownership or authority to sign alone.

What is a sp. z o.o.?▾
Sp. z o.o. (Spółka z ograniczoną odpowiedzialnością) is Poland's limited liability company, equivalent to a GmbH or Ltd. Minimum share capital is PLN 5,000 (about €1,100). It's the most popular company form for small and medium businesses.
What is the difference between KRS and CEIDG?▾
KRS is for commercial companies (sp. z o.o., S.A., partnerships). CEIDG is for sole traders (jednoosobowa działalność gospodarcza). Sole traders register in CEIDG and don't have a KRS number.
What is a PSA?▾
PSA (Prosta spółka akcyjna / Simple Joint-Stock Company) was introduced in July 2021 as a modern, flexible entity for startups. It can be formed with PLN 1 share capital and allows tokenized shares and flexible governance.
