Comprobar la sociedad, no solo su denominación
- Identifica el registro competente
- Distingue la consulta de denominaciones del Registro Mercantil Central de la información de la sociedad en el registro provincial competente. Pide el NIF y la denominación social exacta antes de seleccionar una coincidencia.
- NIF y NIF-IVA no son la misma comprobación
- CIF es la denominación antigua que sigue apareciendo en documentos. La validación de un NIF-IVA en VIES es una consulta fiscal distinta: no sustituye el asiento mercantil ni acredita solvencia.
- Capital y representación
- Una SL puede constituirse con capital desde 1 €, con reglas adicionales mientras no alcance 3.000 €. El capital inscrito no equivale al dinero disponible. Comprueba las facultades de representación en el documento correspondiente, no solo el nombre del administrador.
- Elige el documento adecuado

RMC is the central index — it tells you which provincial Registro Mercantil holds the underlying file. Spain has 50+ provincial registries, each holding its own deposits.

Identify the entity by NIF
Use the entity's NIF; CIF is the older term still used on some documents. Compare the exact identifier, legal name and province. Do not confuse the company with a trading brand or its tax-registration status.

Pull the nota simple
The nota simple is the canonical summary document — current name, registered office, directors, share capital, and a list of recent filings. It's the entry-point document for Spanish due diligence.

Check VAT separately
Where an intra-EU VAT check is required, validate the ES-prefixed identifier through VIES. Possessing a NIF does not automatically mean registration for intra-EU transactions; a VIES response is not a creditworthiness or commercial-intent assessment.

Nota simple downloads cost roughly €5-10 per document. The Colegio de Registradores is the official portal. Provincial registries also accept walk-in requests, though most workflows are now online.

- The tax identification number for legal entities, now officially replaced by the NIF (Número de Identificación Fiscal) but still widely used in business parlance.
- Sociedad Limitada (SL)
- The most common form of limited liability company in Spain, requiring a lower minimum capital than an SA.
- Nota Simple
- An informative document detailing the current legal and financial status of a company, including its administrators.
- Boletín Oficial del Registro Mercantil (BORME)
- The official gazette where legal acts regarding companies, such as incorporations or changes in directors, must be published.
- Administrador Único
- The individual who holds full management and representation rights for the company, common in smaller SLs.
Errores comunes a evitar
✗ Using the RMC to find detailed financial accounts.
✓ The RMC is a central index for names; detailed financial statements must be requested from the specific Provincial Registry or via the Colegio de Registradores portal.
✗ Assuming the CIF/NIF remains unchanged if a company moves province.
✓ While the NIF usually stays the same, the registration data will move to a different provincial registry, requiring a search in the new jurisdiction.

¿Cuál es la diferencia entre CIF y NIF?▾
Desde 2008 las personas jurídicas usan el NIF (antes CIF), formado por una letra inicial que indica la forma jurídica (A: S.A., B: S.L., F: cooperativa) seguida de 8 dígitos. En la práctica, muchas fuentes siguen llamando 'CIF' al NIF de sociedad.
¿Qué es el código CNAE?▾
El CNAE (Clasificación Nacional de Actividades Económicas) identifica la actividad principal de una sociedad. Cada inscripción en el Registro Mercantil incorpora al menos un código CNAE.
¿Cómo verifico un NIF-IVA español?▾
El NIF-IVA español (ES + NIF) se valida en la base VIES de la Comisión Europea. El Registro Mercantil muestra el NIF, del que se deriva el NIF-IVA para operaciones intracomunitarias.
¿Qué diferencia hay entre el Registro Mercantil Central y los provinciales?▾
Los Registros Mercantiles provinciales inscriben los actos de las sociedades de su provincia. El Registro Mercantil Central (RMC) centraliza la publicidad de denominaciones y publica el Boletín Oficial del Registro Mercantil (BORME).
